Terms of Use

1. Acceptance of Terms

By accessing or using GEISolutions.com, any related subpages, pilot application forms, or later-added portal or dApp interfaces made available by Global Environmental Impact Solutions, LLC (GEIS), you agree to these Terms of Use. If you do not agree, do not use the website or submit information through it.

These Terms apply to visitors, applicants, counterparties, prospective clients, pilot participants, and any other person using the website or related online intake channels.

2. Nature of the Website and Pilot Status

The website is provided for informational, contact, and pilot-application purposes. GEIS may publish company information, pilot information, process descriptions, educational content, and contact pathways.

Pilot applications are open, but open application status does not guarantee review, acceptance, onboarding, registration, issuance, transfer, retirement, or any commercial relationship.

Until a formal agreement is signed and any required program steps are completed, no visitor or applicant should assume that GEIS has approved a project, accepted a pilot, or committed to issue any unit, registry status, tokenized representation, or public claim.

3. No Professional, Investment, or Reliance Advice

Website content is general information only. It is not legal, regulatory, tax, accounting, engineering, financial, investment, securities, commodities, or environmental compliance advice.

Nothing on the website is an offer to sell securities, an invitation to invest, a guarantee of performance, a guarantee of market value, or a promise that any environmental attribute or digital representation will be created, transferred, or retired.

4. Eligibility and Proper Use

You may use the website only for lawful purposes and in a way that does not interfere with site operations, impair access for others, or misuse GEIS systems, forms, or communications channels.

You may not submit false, misleading, incomplete, infringing, malicious, automated, or unauthorized content. You may not attempt to access protected areas without authorization or test the site for vulnerabilities without written permission.

5. Applications, Forms, Portal, and Accessibility

During pilot-stage operations, GEIS may use a Google Form or similar hosted form for public inquiries or pilot applications. GEIS may later transition some functions to a client portal and/or dApp.

GEIS intends to provide an alternative access path for individuals who cannot use the Google Form, portal, or dApp because of disability, technology limitations, or other accessibility barriers. Users needing assistance may contact GEIS at Contact@GEISolutions.com.

GEIS may request additional information to process an application or inquiry, and GEIS may decline, defer, or close an intake without public explanation.

6. Accounts and Future Restricted Access

If GEIS later enables a client portal, registry account, or dApp-connected account, additional account terms may apply. You are responsible for any credentials, wallet controls, multi-factor controls, or authorized-user rules applicable to your account.

GEIS may suspend, limit, or disable access if it believes there is misuse, fraud, security risk, legal risk, inaccurate information, or a conflict with GEIS program rules.

7. Intellectual Property

Unless otherwise stated, the website and its content, structure, text, graphics, process descriptions, logos, trademarks, forms, downloadable documents, and related materials are owned by or licensed to GEIS and are protected by applicable law.

You may view, download, and print website materials for internal informational use only. You may not copy, republish, distribute, modify, scrape, frame, reverse engineer, or create derivative works from website content except as allowed by law or written permission.

8. Submitted Materials

If you submit information, forms, records, or attachments to GEIS, you represent that you have the right to submit them and that the information is accurate to the best of your knowledge.

Submitting materials through the website does not transfer ownership of GEIS materials to you, and it does not obligate GEIS to review, respond, accept, or retain the submission for any minimum period.

9. Third-Party Tools and Links

The website may rely on third-party providers, such as web hosts, analytics services, email systems, Google Forms, embedded media, mapping tools, document services, or later third-party portal/dApp infrastructure.

GEIS is not responsible for third-party content, uptime, policies, or actions. Access to third-party tools may also be subject to those providers’ own terms and privacy practices.

10. Disclaimers

The website and all content are provided on an ‘as is’ and ‘as available’ basis to the fullest extent permitted by law. GEIS does not warrant uninterrupted service, accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, or error-free operation.

GEIS does not warrant that website descriptions, pilot descriptions, or public materials will remain current or that any future portal or dApp features will be available on a particular schedule.

11. Limitation of Liability

To the fullest extent permitted by law, GEIS and its managers, officers, members, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost opportunities, loss of data, or business interruption arising from or related to use of the website.

If liability cannot be fully disclaimed, GEIS’s aggregate liability relating to website use will be limited to the greatest extent permitted by law.

12. Indemnity

You agree to indemnify and hold harmless GEIS and its managers, officers, members, employees, contractors, and agents from claims, liabilities, losses, and expenses arising out of your misuse of the website, your breach of these Terms, or your submitted materials.

13. Geographic Scope and Legal Compliance

GEIS is organized in Wyoming and may interact with users in multiple states. Website use must comply with applicable laws in the user’s location and GEIS may restrict access, forms, or features where appropriate.

Nothing on the website is intended to waive any legal limitation, threshold, or exemption that may apply under federal or state law.

14. Changes and Contact

GEIS may update these Terms at any time by posting a revised version. Material changes will apply prospectively from the effective date shown in the revised document.

Questions regarding these Terms may be directed to Contact@GEISolutions.com or mailed to 30 N. Gould St. Suite R, Sheridan, WY 82801.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Any dispute relating specifically to the website or these Terms shall be resolved in a forum selected by GEIS that is legally proper, unless mandatory law requires a different forum.
